Report: Boards Seeking More Subject Expertise

Responding to Economic and Technological Challenges: The 2025 Governance Outlook
Board members are facing increasing pressure to navigate through economic and technological challenges, leading to a shift towards narrower strategic-planning windows and a demand for subject matter expertise, as highlighted in a recent report.
The 2025 Governance Outlook
The 2025 Governance Outlook, recently released by the National Association of Corporate Directors, sheds light on the evolving landscape for corporate boards. Based on a survey of 251 board members, the report indicates a prevailing concern regarding “shifting economic conditions” in anticipation of potential policy changes by the incoming administration.
While less than 10 percent of respondents foresee a recession resulting from these shifts, a significant number acknowledge the heightened volatility of the current environment. Nearly half of the participants expressed that crises are becoming more frequent and severe.
Increasing Responsibilities
With leaders facing a mounting workload, the report reveals that the number of topics on board agendas and the issues individual directors must monitor have surged. Approximately three-quarters of directors indicated this upward trend in responsibilities.
As a response to the rapid economic and technological transformations, organizations are reevaluating their long-term strategic planning horizons. The report notes a rise in the percentage of companies adopting a time horizon of less than three years for strategic planning, indicating a shift towards more agile planning methodologies.
Emphasis on Expertise
Two thirds of respondents said ‘specific expertise’ was the most sought-after characteristic in their next board recruit.
To address these emerging trends, the report emphasizes the importance of prioritizing risk management and fostering a proactive approach to identifying early warning signals. Boards are advised to establish clear metrics for evaluating progress and innovation within the organization.
Furthermore, a fluid approach to strategic planning is recommended, encouraging boards to explore various scenarios and continuously pressure test their strategies. This dynamic governance strategy enables organizations to adapt swiftly to changing circumstances while keeping long-term objectives in focus.
Adapting Board Composition
The evolving governance landscape has prompted organizations to reconsider the composition of their boards. Rather than solely relying on general leadership skills, boards are increasingly seeking individuals with specific expertise to provide valuable insights on critical issues such as cybersecurity.
While expertise is crucial, the report underscores the importance of balancing specialized knowledge with the board’s broader strategic goals. Boards are encouraged to enhance collective proficiency on mission-critical matters through ongoing learning initiatives. Individual directors are urged to foster a spirit of continuous learning to enhance board effectiveness.
The 2025 Governance Outlook advocates for a holistic approach to governance that integrates expertise with strategic foresight, enabling boards to navigate through complex challenges with agility and resilience.
